Business Continuity Plan

Internap Holding LLC (“INAP “or the “Company”) INAP recognizes the importance of its responsibility to continue business operations in the event of a disruption of critical business functions. As a result, INAP has appointed the Executive Vice President and General Counsel to manage the INAP Compliance Program including the Business Continuity Plan in conjunction with the INAP Compliance Committee. The Committee includes representation from all operations, network, IT and Corporate groups to address the material aspects of the Business Continuity Plan. The Committee meets on a regular basis. The General Counsel provides reports to the INAP Governance Committee on a quarterly basis. INAP recognizes the importance of its responsibility to continue business operations in the event of a disruption of critical business functions. Contingency planning is the process of identifying risks from disruption of operations and services. The objectives of a contingency plan are to:

  • Minimize disruptions of service to the Company and our customers, and
  • Minimize financial loss, and
  • Ensure timely resumption of operations in the event of a disaster.

As a result, INAP has created this Business Continuity Plan (the “Plan”). The objective of the Plan is to provide the information and procedures necessary to:<.p>

  • Respond to a disaster occurrence.
  • Resume processing to ensure minimal disruption to operations.

The Plan consists of the information and procedures required to enable rapid recovery from a disaster, which would disable INAP for an extended period of time (more than 48 hours). Successful recovery operations depend on:

  • Documenting and maintaining an up-to-date Plan.
  • Taking necessary preparatory steps in order to execute the Plan.
  • Storing and securing adequate backup materials off-site.
  • Performing periodic tests of the Plan.
  • Modifying the Plan as necessary based on the results of the tests.
  • Performing adequate cross-training to reduce reliance on key personnel.
  • Safeguarding vital records, electronic and hardcopy.

The Plan includes documented and tested procedures, which, if followed, will assist in ensuring the availability of critical resources and in maintaining the continuity of operations during an emergency situation. The Plan also will aid in ensuring stability through an orderly recovery process in the event of significant problems and interruptions. It includes only those high priority tasks required to ensure successful recovery from a disaster. For purposes of this Plan, an emergency is defined as any natural, human, or technological event, which requires immediate action, but interruption to critical business functions is either non- existent or minimal. A disaster is defined as any natural, human, or technological event resulting in destruction to: (1) the Reston, VA Corporate Headquarters located at 12120 Sunset Hills Rd, Suite 330, Reston, VA; the Operations Corporate Office located at 250 Williams Street, Atlanta, GA (“ACS”); or any of our Company controlled data centers, (2) the computer the computer systems, applications, and resources currently used to perform the operations of the business, and/or (3) impacting employees in key positions who perform critical business operations. The Plan outlines the emergency and safety procedures, declaration of a disaster, disaster alert, disaster assessment, business continuity plan activation, public relations, customer communications and other detailed process and procedures. The Purpose of the Plan is to continue business operations in the event of a disruption of critical business functions. INAP recognizes this obligation and has made every effort to be prepared to execute the Plan, if necessary. Last Updated July 2020
